Terms of Service

1. About these terms
These terms apply to your use of OttaNote, offered by Giant-Soft v.o.f., trading under the name projectproject.nl (KvK 01052442, VAT NL007367703B01, Emmakade 50, 8933 AT Leeuwarden), hereinafter "we"/"OttaNote". By creating an account or using the service, you agree to these terms and to the privacy policy.
Sales via Paddle. Paid subscriptions are charged and invoiced by Paddle as Merchant of Record (the seller of record for the transaction). In addition to these terms, the Paddle terms also apply to the payment; see §4.
2. The service
OttaNote is a note-taking app: folders, notes, attachments and nested to-dos, with synchronisation across devices, import/export, an encrypted vault, tabs and the ability to connect your own AI assistant (see §5–§6). We may continue to develop the service, add or change features, and carry out maintenance.
3. Account
- You are responsible for the accuracy of your information and for keeping your login credentials confidential (and, if enabled, your second factor).
- One account is for personal use; do not share your login credentials.
- You must be legally permitted to enter into an agreement. Minimum age: 16 years (or the age of digital consent applicable in your country; see the privacy policy), unless you have the consent of a parent/guardian.
4. Subscriptions, prices and payment
- Free: up to 50 notes and 50 MB of attachments.
- Plus: unlimited notes/folders, up to 10 GB of attachments, tabs, the vault, AI connection and extended version history, for € 3,99 per month or € 29,99 per year (incl. VAT where applicable).
- Lifetime (one-time): alongside the subscription you can buy a one-time lifetime licence — permanent Plus, no renewal and no cancellation. The launch price is tiered: € 29,99 for the first 200, then € 39,99, € 49,99 and € 79,99. Payment is likewise handled via Paddle.
- Payment and invoicing are handled by Paddle (Merchant of Record). Paddle processes your payment details and issues the invoice; OttaNote stores no card or payment details. VAT is remitted by Paddle.
- The subscription renews automatically until you cancel. Cancellation is possible at any time through Paddle's customer portal (link in the app); you keep Plus until the end of the current period.
- Right of withdrawal (consumers in the EU). OttaNote Plus is a digital service with immediate access. Your purchase is made through Paddle as Merchant of Record; at checkout, under Paddle’s Buyer Terms, you consent to immediate delivery and acknowledge that you lose your statutory 14-day right of withdrawal once access begins (EU Directive 2011/83/EU, art. 16(m)). Regardless of this, we voluntarily offer a refund within 14 days of purchase. See our refund policy; the mandatory consumer law of your country remains fully applicable.
- Price changes will be announced in advance; in the event of an increase you may cancel before it takes effect.
5. The vault (end-to-end encryption)
- The vault encrypts your notes on your own device with a key derived from your PIN code and a recovery code. We store only encrypted data and have no access to your PIN code, recovery code or the contents of the vault.
- We therefore cannot recover vault contents. If you lose both your PIN code and your recovery code, the contents of the vault are permanently inaccessible. You are responsible for keeping your recovery code safe.
6. AI connections (your own AI)
- You can connect OttaNote to an AI assistant of your choice (via our MCP connection). You then explicitly grant that connection access to (a part you choose of) your notes.
- The AI provider you choose is a third party outside our control; the terms and privacy policy of that provider apply to that processing. We do not share your notes with third parties on our own initiative — a connection is only established at your initiative and you can revoke it again.
- You are responsible for your choice of AI provider and for what you share.
7. Your content
- You remain the owner of your notes and attachments.
- You grant us only the technically necessary right to store, synchronise and (at your request) share your content.
- You are responsible for your content and for making backups (the app offers export and backup).
8. Acceptable use
You will not use OttaNote for unlawful content or activities, nor to harm the service or other users (abuse, overloading, circumventing security), nor to infringe the rights of others.
Where there is a concrete indication of abuse, unlawful content or illegal use, we may investigate and, only to the extent strictly necessary and in confidence, sample and view notes and attachments — for example to identify, stop or report such content to a competent authority, or to comply with a legal obligation. This is done proportionately and kept to a minimum. The vault is excluded: it is end-to-end encrypted and technically inaccessible to us (see §5). 9. Availability and liability
- We do our best to provide a reliable service, but we make no guarantee of uninterrupted or error-free availability.
- To the extent permitted by law, our liability is limited to at most the amount you paid us in the twelve months before the event; for free use our liability is excluded to the extent the law permits. We are not liable for indirect or consequential damage, including loss or corruption of data. So make regular backups or exports of your notes — the app provides features for this.
- These limitations do not apply in the event of intent or wilful recklessness on our part, and mandatory consumer rights remain unaffected.
10. Termination
- You can delete your account at any time (in-app).
- We may suspend or terminate an account in the event of a serious breach of these terms, where possible after a warning.
11. Governing law and disputes
- These terms are governed by Nederlands recht (Dutch law) and disputes will be submitted to the competent court in Noord-Nederland.
- Consumers: as a consumer you always retain the mandatory legal protection and the option of going to the competent court of your country of residence. The choice of law above cannot deprive you of those rights.
